Business Distress, Director Risk & Commercial Disputes: What Advisors Need to Know

Business distress rarely happens in isolation. When financial pressure builds, it can quickly move from early warning signs through to restructuring decisions, director risk exposure, and, in some cases, complex commercial disputes. This session unpacks what that journey looks like in practice and how advisors can respond early and effectively.

We will explore current insolvency trends and key industries impacted, and what these shifts are indicating about business stress in the market. Through real examples, we will discuss how voluntary administration can be used to stabilise and, in some cases, save viable businesses from liquidation when acted on early. We will also provide a practical refresher on Safe Harbour protections and what directors need to understand when navigating potential insolvent trading exposure.

From a dispute and forensic perspective, the session will unpack the types of commercial claims that commonly arise when businesses fail or relationships break down, what information is critical in building or defending a claim, and how accounting practices can either strengthen or weaken a matter. We will also highlight the complexity of commercial litigation and when specialist support is essential.

Together, the session focuses on practical decision-making, early risk identification and knowing when to escalate matters before value is lost.

Michael is a Principal at Results Legal with over 22 years’ experience advising on complex commercial and corporate disputes. He specialises in shareholder and business separation matters, including corporate oppression actions, partnership and trust litigation, with a particular focus on intra-family and intergenerational enterprise disputes. Michael also has extensive experience in contract and insolvency litigation, including director duty claims, fraud, trade practices and security enforcement.

Mariano regularly advises on high-value litigation and has extensive experience designing and operating claims and settlement processes, helping clients manage risk in complex and often high-stakes matters.
